Board resolution templates provide a starting structure for recording a decision of a company board. A useful record identifies the entity, the decision, the approval process and the authority being granted. The wording should reflect what was actually approved rather than an intention that directors have not yet considered.
The collection includes examples for several purposes, such as bank arrangements and company administration. Select a sample around the proposed decision, then check the company governing documents and applicable requirements. A resolution by directors is not automatically interchangeable with a decision that needs approval from shareholders, members or another body.
These documents are drafting references. A downloaded form cannot establish quorum, voting validity, signing authority or required filing. Obtain appropriate company-secretarial or legal review where needed, and use any prescribed wording required by a bank, regulator or other recipient.
Describe the decision and its limits precisely
State the legal name of the company and the specific action approved. If a person may sign or operate an account, define the scope of that authority and any limits, conditions or joint-signing requirements. Avoid a broad phrase such as “do everything necessary” when the intended authority is narrower. Use the actual names and roles of authorized people. A resolution for one transaction should not accidentally grant continuing authority for unrelated matters. Review references to accounts, counterparties and attached schedules against the approved proposal.
Record the approval process that actually occurred
Identify whether the record relates to a meeting or an eligible written decision under the company arrangements. Include the relevant date and other required particulars. Do not copy statements that notice was given, directors attended, interests were declared or a vote was unanimous unless those statements are true and appropriate. The person preparing the record should reconcile it with the meeting or written-approval evidence. If a decision remains proposed or conditional, keep the draft labelled accordingly rather than presenting it as a final certified extract.
Check the receiving organization requirements
A bank or other recipient may specify its own form, certification, account details or signatory evidence. Obtain those requirements before completing a generic sample. Confirm whether the recipient needs a full resolution, an extract, a certified copy, or additional company documents. Do not insert an invented official seal or certification to make an incomplete record appear acceptable. A receiving party request does not remove the need for the company itself to approve the decision through a valid process. Keep the scope of the external request clear for the people approving it.
Maintain the decision record after approval
Store the approved resolution with the relevant company records and supporting documents. Record later amendments, revocations or changes of authorized people through the appropriate process. A new employee should not rely on an old account-opening resolution without checking whether it remains current. Where filing or retention rules apply, use the requirements for the actual company and jurisdiction. The Companies House recordkeeping guide is a useful example for UK companies; it should not be treated as a rule for companies incorporated elsewhere.
A practical example
A company wants to authorize two named officers to operate a bank account within an agreed limit. The draft should identify the company, account or account-opening purpose, permitted actions, signing arrangement and limit. The preparer checks the bank required form and the company approval process before finalizing it. After the directors make the decision, the record is completed to reflect the actual approval. If one officer later leaves, the company considers the necessary change and tells the bank through its process. Editing the old name in an archived PDF would not, by itself, record a new board decision or update the bank mandate.
Distinguish the decision maker from the person signing
A document can refer to directors making a decision and to an officer carrying it out. Identify those roles separately. The people approving the resolution may not be the same people authorized to sign a transaction document or contact a bank. Check the applicable company arrangements and the particular decision involved before completing a sample. Avoid assuming that every officer has authority to certify a copy or bind the company. Where approval by another body or an additional consent may be needed, record that question for the responsible adviser. Clear role descriptions make the draft easier to review and reduce the chance that a copied signature block will be treated as proof of authority it does not establish.
Check the supporting record before certifying an extract
A recipient may ask for a certified resolution or extract. The person responsible for preparing it should reconcile the wording with the actual approved record and follow the requirements relevant to that company and recipient. Confirm the date, company name, decision text and scope of authority. Do not add a certification date, signature or statement of continuing validity merely because the sample contains a space for it. A clear template can organize the information, but it cannot supply the underlying evidence or authority. If the approved wording and requested form differ, resolve that difference through the proper process before sending a document that appears to certify a decision the company did not make.
Maintain an authority register alongside the resolutions
For practical administration, an organization may keep a separate list of current delegated authorities, limits and responsible contacts. Link each entry to the appropriate approved record and note later changes. This working list can help staff locate evidence when an officer leaves, an account changes or a transaction closes. Keep it distinct from the resolutions themselves: an administrative spreadsheet does not automatically amend a board decision or an external mandate. Establish who checks the register and how changes are reported to affected parties. During a handover, identify obsolete documents and unresolved questions so that a new administrator does not continue relying on an old authority simply because it was the easiest PDF to find.

The previews below show the available examples. Download buttons identify the offered file format; many files are supplied in ZIP packages that must be extracted first. Word and PDF versions of the same example count as one template, not two different designs. Choose an example for its purpose, then check the actual extracted file before editing it. Keep the original blank download separately from a completed copy.

Frequently asked questions
What should a board resolution contain?
Include the entity, decision, relevant approval particulars, scope of authority, conditions and any required signatures or certification. The exact content depends on the company and purpose.
Is a board resolution the same as meeting minutes?
Minutes can record the wider meeting. A resolution records a particular decision, and an extract may reproduce it for a defined recipient. Check what form of record is required.
Can a template make a resolution legally valid?
No. Validity depends on the applicable requirements, company arrangements and actual approval process. Formatting a sample does not establish notice, quorum, voting or signing authority.
Should I use my bank own resolution form?
Ask the bank what it accepts and reconcile its requirements with the company approval process. A generic example may help with preparation but may not meet the recipient specific requirements.
Can I change an approved resolution by editing the file?
Use the appropriate process for an amendment or new decision. Preserve the historical record and record what changed, when and through which approval, rather than silently overwriting it.
